• You operate an active e-commerce business or digital commerce operation.
• You are not purchasing Services as a passive investment or speculative opportunity.
• You understand that BuyAnExpert is not a business opportunity, franchise, earnings program, or managed service

4. SCOPE OF SERVICES

The Services provided by BuyAnExpert are strictly limited to:

• Vetting and placement of e-commerce professionals or experts (“Experts”)
• Facilitating introductions between Client and Expert
• Providing administrative coordination related to placement

BuyAnExpert does not:

• Manage, supervise, or control the Expert’s work
• Guarantee performance, outcomes, revenue, or results
• Provide business management, consulting, or operational execution
• Act as an employer, agent, or representative of the Expert

All engagement, direction, and use of the Expert is solely the Client’s responsibility.

6. NO REFUND POLICY

All sales are final. BuyAnExpert provides professional placement and administrative services that are rendered upon payment. You acknowledge and agree that:

• No refunds, prorated credits, or chargebacks are permitted
• Payment is for access to placement services and coordination, not results
• This policy is strictly enforced without exception

7. OWNERSHIP & INTELLECTUAL PROPERTY

All materials, documentation, processes, templates, and internal systems provided by BuyAnExpert are proprietary and remain the exclusive intellectual property of BuyAnExpert LLC.

You are granted a limited, non-transferable license to use such materials solely for your internal business purposes. Unauthorized copying, distribution, sublicensing, or sharing is prohibited and may result in termination and legal action.

8. DISCLAIMERS

BuyAnExpert makes no representations or warranties regarding:

• Expert performance or availability
• Business success, revenue, profitability, or growth
• Compatibility between Client and Expert

All Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind. You assume all risks associated with engaging and working with an Expert.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, BuyAnExpert LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits or business interruption.

In no event shall BuyAnExpert’s total liability exceed the total amount paid by you for placement Services, capped at $5,000 USD.

10. NON-DISPARAGEMENT & COMMUNICATIONS

You agree not to make any false, defamatory, or materially misleading statements that could harm the reputation of BuyAnExpert or its affiliates.

Nothing in this section restricts your right to provide truthful reviews or file complaints with government agencies in accordance with the Consumer Review Fairness Act (15 U.S.C. § 45b).

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless BuyAnExpert LLC and its officers, employees, contractors, and affiliates from any claims, losses, damages, or expenses arising from:

• Your breach of these Terms
• Your use of the Services or engagement with an Expert
• Any violation of law or third-party rights

12. TERMINATION

We may suspend or terminate your access to the Services at any time for non-payment, breach of these Terms, abuse of staff, misuse of materials, or conduct detrimental to our business.

Sections 6–11 and 13–17 shall survive termination.

13. ARBITRATION & CLASS ACTION WAIVER

Any dispute arising from these Terms or the Services shall be resolved by binding individual arbitration in Volusia County, Florida, under the rules of the American Arbitration Association.

You waive your right to:

• A jury trial
• Participation in class or collective actions

Arbitration must be initiated within one (1) year of the dispute arising.

You may opt out of arbitration within 30 days of acceptance by mailing written notice to:

14. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

15. ASSIGNMENT

These Terms are governed by the laws of the State of Florida, You may not assign or transfer your rights without written consent.

BuyAnExpert may assign these Terms freely as part of a merger, acquisition, or asset sale.ithout regard to conflict-of-law principles.

16. ENTIRE AGREEMENT

These Terms, together with your signed service agreement and Privacy Policy, constitute the entire agreement and supersede all prior discussions.

If there is a conflict, the signed service agreement controls.

17. SEVERABILITY

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
